What is CVN (CVV2/CVC2)?

The CVN code is a special 3-4 digit code used as a security measure for all Internet transactions. It is called CVV2 (Credit card Verification Value) for Visa cards and CVC2 (Credit card Verification Code) for MasterCard. Since the CVN is listed on your credit card, but is not stored anywhere, the only way to know the correct number for your credit card is to physically have possession of the card itself. Because of this, it is a security enhancement against misuse of credit cards. All VISA, MasterCard and American Express cards newer than 5 years have a CVN.

Note: The CVN code is printed on your card; it is not raised from the surface of the card like your credit card's account number.

How to find your CVN?
On a Visa or MasterCard, please turn your card over and look in the signature strip. You will find (either the entire 16-digit string of your card number, OR just the last 4 digits), followed by a space, then followed by a 3-digit number. That 3-digit number is your CVV2 number. In case it is longer (e.g. 4-5 digits), you should type only the last 3 of them. (See below)

American Express cards have a 4-digit CVC2 printed above and to the right of the imprinted card number on the front of the card. In case it is longer (e.g. 5 digits), you should type only the last 4 of them. (See below)

If you need more information or cannot read your CVN, you have to contact the issuing creditor. 

1. BILLING, PLAN MODIFICATIONS AND PAYMENTS

1.1 All amounts due under this Agreement shall be paid for by a valid credit/debit card in the following manner (i) CE Zoom will charge you for Subscription Charges, and any other charges required on the date you signed up, or renewal date for your Subscription Term. (ii) The Subscription Charges must be paid in full by the date on which your subscription is termed, unless other arrangements have been made between the parties of this Agreement in writing (iii) If you do not pay your annual fee by the 5th delinquent date past your due date or fail to update your payment information upon request, we reserve the right to suspend or use other remedies to terminate access to our Service. (iv) A reconnection fee of $96 may be charged if service is suspended and reconnected.

1.2 If You elect to upgrade Your Membership Plan to access and use CE Zoom’s Service during Your Subscription Term (hereinafter referred to as a “Subscription Upgrade”), any incremental Subscription Charges associated with the Subscription Upgrade will be due immediately, and will not be prorated in any fashion. By you electing to upgrade, you are authorizing CE Zoom to charge your account for the full amount of the upgrade. In any future Subscription Term, Your Subscription Charges will automatically reflect any such Subscription Upgrades.

1.3 If you elect to downgrade Your Membership Plan at anytime, be advised that this may cause loss of content, features, or capacity of the Service as available to You under Your Account. CE Zoom is not liable for any information lost if Your Membership Plan is downgraded.

1.4 Unless otherwise stated, CE Zoom’s charges do not include any taxes, levies, duties or similar governmental assessments, including value-added sales, use or withholding taxes assessable by any local, state, provincial or foreign jurisdiction (collectively “Taxes”). You are responsible for paying Taxes, except those assessable against CE Zoom measured by its net income. CE Zoom will invoice You for such Taxes if We believe We have a legal obligation to do so and You agree to pay such Taxes if so invoiced.

1.5 If You pay by credit/debit card, the Services provide an interface for the Account owner to change credit card information (e.g. upon card renewal). The Account owner will receive a receipt upon each acceptance of payment by the Payment Agent, or they may obtain a receipt from within the Services to track subscription status. You hereby authorize the Payment Agent to bill Your credit card or other payment instrument in advance on a periodic basis in accordance with the terms of the Service Plan for the Services and for periodic Subscription Charges applicable to Deployed Associated Services to which You subscribe until Your subscription to the Services terminates. You further agree to pay any Subscription Charges so incurred. If applicable, You hereby authorize CE Zoom and the Payment Agent to charge Your credit card or other payment instrument to establish such prepaid credit. You agree to promptly update Your Account information with any changes (for example, a change in Your billing address or credit card expiration date) that may occur. The Payment Agent uses a third-party intermediary to manage credit card processing and this intermediary is not permitted to store, retain or use Your billing information except to process Your credit card information for the Payment Agent.

1.6 Payments made by credit/debit card for the CE Zoom services are billed and processed by CE Zoom’s Payment Agent. To the extent the Payment Agent is not CE Zoom, the Payment Agent is acting solely as a billing and processing agent for and on behalf of CE Zoom and shall not be construed to be providing the applicable Service. 1.7 If You mandate CE Zoom to use a vendor payment portal or compliance portal which charges CE Zoom a subscription fee or a percentage of any uploaded invoice as a required cost of doing business, You shall be invoiced by CE Zoom and You are obligated to pay the cost of this fee.

2. PROMOTIONAL DISCOUNT POLICY

CE Zoom may, at Our sole discretion, choose to offer discounts for the Services in various ways, including but not limited to, coupons, promotional campaigns and referrals for CE Zoom services such as training. CE Zoom reserves the right to award discounts at its sole discretion. Discounts have no monetary or cash value and can only be used by You to offset Your subsequent payments of Subscription Charges for the applicable Service. Discounts may only be applied to Subscription Charges due for the Service specifically identified by CE Zoom when issuing the discounts. Discounts can only be used by You and are non-transferable. To the extent that You have been awarded a discount, unless the instrument (including any coupon) states an earlier expiration date, discounts shall expire and no longer be redeemable twelve (12) months from the date the discount was issued.

3. CANCELLATION AND TERMINATION

3.1 Either Party may elect to terminate their Account and subscription to their Service. You are solely responsible for properly discontinuing use of the Service by providing notice, in accordance with this Agreement, no less than thirty (30) days prior to the end of the Subscription Term. CE Zoom, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. CE Zoom reserves the right to refuse service to anyone for any reason at any time.

3.2 You understand we cannot guarantee your Content can be recovered once it is inactivated or downgraded from the Upgraded Service.

3.3 Except for Your termination rights under Section 3.5, no refunds or credits for Subscription Charges or other fees or payments will be provided to You if You elect to terminate Your subscription to the Service or cancel Your Account prior to the end of Your then effective Subscription Term.

3.4 Except for Your termination under Section 3.5, if You terminate Your subscription to a Service or cancel Your Account prior to the end of Your then effective Subscription Term or CE Zoom effects such termination or cancellation pursuant to Sections 3.4 and 3.5, in addition to other amounts You may owe CE Zoom, You must immediately pay any then unpaid Subscription Charges associated with the remainder of such Subscription Term. This amount will not be payable by You in the event You terminate Your subscription to a Service or cancel Your Account as a result of a material breach of this Agreement by CE Zoom, provided that You provide advance notice of such breach to CE Zoom and afford CE Zoom no less than thirty (30) days to reasonably cure such breach as provided for in Section 3.5 herein.

3.5 CE Zoom reserves the right to restrict functionality, suspend or terminate the Services (or any part thereof), Your Account or Your and/or Agents’ or End-Users’ rights to access and use the Services, and remove, disable and quarantine any Service Data if We believe that You, Agents or End-Users have violated this Agreement. This right includes the removal or disablement of Service data. Unless legally prohibited from doing so, CE Zoom will use commercially reasonable efforts to contact You directly via email to notify You when taking any of the foregoing actions. CE Zoom shall not be liable to You, Agents, End-Users or any other third party for any such modification, suspension or discontinuation of Your rights to access and use the Services. Any suspected fraudulent, abusive, or illegal activity by You, Agents or End-Users may be referred to law enforcement authorities at CE Zoom’s sole discretion.

3.6 A Party may terminate this Agreement for cause (a) upon written notice to the other Party of a material breach if such breach remains uncured at the expiration of thirty (30) days from the date of the breaching Party’s receipt of such notice; or (b) if the other Party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors. If this Agreement is terminated by You in accordance with this section, CE Zoom will, to the extent permitted by applicable law, refund You any prepaid fees covering the remainder of the Subscription Term after the effective date of termination. If this Agreement is terminated by CE Zoom in accordance with this section, You will pay any unpaid fees covering the remainder of the Subscription Term pursuant to all applicable Order Forms. In no event will termination relieve You of Your obligation to pay any fees payable to CE Zoom for the period prior to the effective date of termination.

3.7 On the effective date of termination or expiration of this Agreement, CE Zoom will have no obligation to maintain or provide any Service Data, that is included in the upgraded services. CE Zoom will have the rights to delete or destroy all copies of Service Data in CE Zoom’s possession or control in accordance with CE Zoom’s Data Deletion Policy, unless prohibited by law.

4. AUTOMATIC RENEWAL

Your subscription to a Service will automatically renew for the equivalent Subscription Term. Unless otherwise provided for in an Order Form, the Subscription Charges applicable to Your subscription to a Service for any such subsequent Subscription Term shall be CE Zoom’s standard Subscription Charges for the Service Plan to which You have subscribed or which You have deployed, as applicable, as of the time such subsequent Subscription Term commences.
